By purchasing or accessing any HomeCheck digital product, including PDF guides, system manuals, or downloadable materials (“Digital Products”), you agree to these Terms and Conditions.

1. Digital Product License

Upon purchase, HomeCheck grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Digital Product for your personal, non-commercial use only, unless otherwise specified.

You may:

• Download and store a copy for personal use

• Print copies for your own use

You may not:

• Share, distribute, resell, sublicense, or transfer the Digital Product

Continued use of Digital Products constitutes acceptance of revised Terms.

LICENSED HOMECHECK SYSTEM PROVIDER AGREEMENT

This Licensed HomeCheck System Provider Agreement (“Agreement”) is entered into between HomeCheck System, LLC (“HomeCheck”) and the purchaser (“Licensee”). By purchasing or accessing the Licensed HomeCheck System, Licensee agrees to the following Terms and Conditions.

1. Grant of Limited License

HomeCheck grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Licensed HomeCheck System materials solely within Licensee’s independently owned business during the active license term.

This license:

• Does not grant ownership rights

• Does not create a franchise

• Does not establish partnership, agency, or joint venture

• Is conditional upon compliance with this Agreement

All rights not expressly granted are reserved by HomeCheck.

2. Intellectual Property Ownership

All HomeCheck materials, including but not limited to:

• System frameworks

• Maintenance methodologies

• Checklists

• Written content

• Training materials

• Logos

• Trademarks

• Branding assets

• Course materials

• Business models

• Documentation templates

are the exclusive intellectual property of HomeCheck System, LLC.

Licensee acknowledges:

• HomeCheck retains full ownership of all intellectual property

• The Licensed HomeCheck System constitutes proprietary trade secrets

• The structure, organization, and methodology are confidential and protected

Licensee acquires no ownership interest under this Agreement.

3. Restrictions on Use

Licensee shall not:

• Modify, reverse engineer, deconstruct, or create derivative works of the HomeCheck System

• Develop a competing system based on HomeCheck materials

• Remove copyright notices

• Alter trademarks

• Register similar trademarks

• Use confusingly similar branding

• Sub-license, sell, assign, or distribute materials

• Provide materials to non-licensed third parties

• Use materials after expiration or termination

Licensee may not represent themselves as “Certified” unless separately certified under a different agreement.

4. Confidentiality & Trade Secrets

The Licensed HomeCheck System contains proprietary methodologies and trade secrets.

Licensee agrees to:

• Maintain confidentiality of system materials

• Prevent unauthorized distribution

• Implement reasonable safeguards to protect digital files

• Not disclose system structure, pricing models, or internal frameworks to third parties

Confidentiality obligations survive termination of this Agreement.

5. License Term & Renewal

Initial License Fee: $429

Annual Renewal Fee: $99

License is valid for 12 months from date of purchase.

Failure to renew:

• Immediately terminates branding rights

• Terminates use of logos

• Terminates designation as Licensed User

• Requires cessation of all HomeCheck branding

Continued use after expiration constitutes unauthorized use of intellectual property.

6. Brand Usage Controls

Licensee may use only approved brand assets provided by HomeCheck.

Licensee may not:

• Alter logos

• Modify design elements

• Combine HomeCheck branding with other marks in misleading ways

• Create unauthorized marketing materials implying official partnership

HomeCheck reserves the right to audit brand usage.

7. Independent Business Status

Licensee operates as an independent business entity.

HomeCheck:

• Does not supervise services

• Does not control pricing

• Does not provide customers

• Does not manage field work

• Does not assume liability

Licensee assumes full responsibility for their business operations.

8. No Income Guarantee

HomeCheck provides educational materials only.

HomeCheck makes no guarantees of income, profit, business growth, or customer acquisition.

All revenue projections are illustrative.

Licensee bears sole responsibility for business results.

9. Indemnification

Licensee agrees to indemnify, defend, and hold harmless HomeCheck, its owners, officers, affiliates, and successors from any claims, damages, losses, liabilities, or expenses arising from:

• Licensee’s services

• Licensee’s customer agreements

• Licensee’s marketing

• Misuse of the system

• Violation of laws

This indemnification survives termination.

10. Right to Terminate

HomeCheck may immediately terminate this Agreement if Licensee:

• Violates IP protections

• Engages in brand misuse

• Creates derivative competing systems

• Fails to renew

• Acts in a manner harmful to brand integrity

Upon termination, Licensee must immediately:

• Cease all use of materials

• Remove branding

• Destroy proprietary digital files

11. Assignment & Transferability

HomeCheck may assign, transfer, or sell its rights under this Agreement in connection with a merger, acquisition, or asset sale without Licensee consent.

Licensee may not assign or transfer this Agreement without written consent.

12. Limitation of Liability

HomeCheck shall not be liable for indirect, incidental, consequential, or special damages arising from use of the system.

Total liability, if any, shall not exceed fees paid within the previous 12 months.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Florida.

Any dispute shall be resolved through binding arbitration in Florida, unless HomeCheck seeks injunctive relief to protect intellectual property.

HomeCheck may seek injunctive relief in court to prevent unauthorized use of intellectual property.

14. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes prior communications.

Continued use of materials constitutes acceptance of updated terms.
